		<description>Hmmm... good point.  But who would allow &quot;or its agents&quot; into the audit provision?  Additionally, it appears that the SIIA actually asks for an assignment of rights, not a designation of agency (there are some additional issues if the SIIA would want agency).  Though agency does seem to be a good way to do this.  Dang.  Now I have to change my template again.  :)  Thanks!</description>

		<description>I don&#039;t see how the concept of &quot;assignment&quot; is necessary.  If your contract states: &quot;the Vendor, or its agents, can audit&quot; well then the vendor just needs to say that the SIIA is their agent.</description>
